Beacon Platform, a cutting-edge financial technology company that provides a cloud-native cross-asset trading and risk management platform for financial services companies, is looking for an experienced Commercial Counsel to join our team. As a key member of our Legal and Compliance team, reporting directly to the Chief Operating Officer (COO), you will be responsible for providing expert legal advice and support on a variety of matters, with a primary focus on Platform as a Service (PaaS) and Software as a Service (SaaS) complex license agreement drafting and negotiations, intellectual property (IP) strategy, compliance with global privacy regulations and security requirements.

  • Contract Negotiation and Drafting:
    • Lead negotiations and draft complex commercial agreements, including software licensing agreements, service level agreements (SLAs), partnership agreements, app distribution agreements, NDAs, statements of work (SOWs), and vendor agreements.
    • Establish thoughtful standards for our customers and partners, based on regulatory environments and market standards.
    • Build strong rapport and collaborate with compliance, security, go-to-market, and product teams to ensure comprehensive legal support across all business functions.
    • Provide holistic legal support in non-standard negotiations and financial arrangements.

  • Intellectual Property (IP) Strategy Management:
    • Develop and implement strategies to safeguard the company's intellectual property rights.
    • Advise on IP-related disputes, infringement matter, and licensing agreements.

  • Compliance and Privacy:
    • Stay updated on global privacy laws and regulations, especially GDPR and other data protection laws.
    • Provide guidance to internal stakeholders on privacy compliance matters, data privacy impact assessments, and implementation of necessary measures.

  • Risk Assessment and Mitigation:
    • Effectively communicate legal risks and provide legal support in developing creative solutions to balance business priorities with risk mitigation.
    • Conduct thorough risk assessments for new projects, products, or services and advise on risk management strategies.

  • Legal Advisory and Support:
    • Offer legal counsel and support to various departments including sales, marketing, product development, and finance.
    • Conduct legal research, monitor industry trends, and keep the company informed of relevant legal developments affecting the technology sector.

  • Qualifications:
    • Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
    • Minimum of 10 years of progressive legal experience, ideally with substantial in-house experience at a technology company.
    • Expertise in intellectual property law
    • Proven track record in negotiating and drafting complex commercial agreements.
    • Deep understanding of global privacy regulations.
    • Strong communication skills with the ability to collaborate effectively with internal and external stakeholders.
    • Excellent analytical and problem-solving skills with a proactive approach to addressing legal issues.

  • Additional Information:
    • This is a full-time position based at our New York office. However remote candidates will be considered. The successful candidate will play a pivotal role in supporting our company's growth and success in the competitive SaaS and PaaS industry.
